1. Acceptance of Terms

These Terms of Service (“Terms”) are an agreement between you and Innovare Growth. By using our websites, landing pages, forms, digital resources, or services, you agree to be bound by these Terms. If you do not agree, do not use them.

2. Website and Services

Innovare Growth provides educational sales resources, business-growth information, customer-acquisition services, automation and follow-up systems, consulting, and related offerings. Specific paid services are governed by the proposal, order form, statement of work, or other written agreement applicable to those services. If that agreement conflicts with these Terms, the signed agreement controls for the conflicting subject matter.

We may modify, suspend, or discontinue any website feature, resource, or service at any time.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use our services. If you use the website or services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

4. Acceptable Use

You agree not to:

• Use the website or resources for unlawful, fraudulent, deceptive, or abusive purposes.
• Interfere with the operation, security, or accessibility of the website.
• Attempt unauthorized access to systems, accounts, or data.
• Introduce malware, scrape the website in an abusive manner, or use automated systems that impose an unreasonable burden.
• Misrepresent your identity, affiliation, or authority.
• Copy, resell, republish, or exploit our content except as expressly permitted.

5. Intellectual Property

The website, Innovare Sales Manual, frameworks, graphics, text, branding, logos, layouts, videos, and other materials provided by Innovare Growth are owned by or licensed to us and protected by intellectual-property laws. Except for the limited permission expressly granted in these Terms, no rights are transferred to you.

“Innovare Growth” and associated branding may not be used in a manner that suggests endorsement, affiliation, or sponsorship without prior written permission.

6. Innovare Sales Manual License

When you receive the Innovare Sales Manual, Innovare Growth grants you a limited, revocable, non-exclusive, non-transferable license to access and use it for your personal development or internal business training.

You may not sell, license, publicly distribute, reproduce for commercial distribution, remove ownership notices from, or create a competing product substantially derived from the manual without our prior written consent. You may share the official Innovare Growth download-page link so others can request their own copy.

7. Communications

When you submit a form, you authorize us to use the contact information provided to deliver requested materials, respond to you, and send communications consistent with the disclosures shown at the point of collection, your consent selections, and our Privacy Policy. You may unsubscribe from promotional emails at any time using the unsubscribe link provided in those emails.

8. SMS Messaging Terms

The Innovare Growth SMS Program provides text communications to people who voluntarily submit a mobile number and opt in. Depending on the consent you select, messages may include responses to inquiries, appointment confirmations and reminders, service updates, customer-care communications, and—only when separately authorized—marketing or promotional messages. Messages may be sent using automated technology.

• Message frequency: Message frequency varies based on your interactions and the services you request.
• Rates: Message and data rates may apply. Contact your wireless carrier for details about your messaging or data plan.
• Opt out: Reply STOP to any message to cancel. After opting out, you may receive one final confirmation message. No additional text messages will be sent unless you opt in again.
• Help: Reply HELP for help, call 319-777-4628, or email [email protected].
• Delivery: Mobile carriers are not liable for delayed or undelivered messages. Message delivery is subject to your carrier’s network availability.

We do not sell or rent mobile information or text-message consent data. Mobile information and text-message opt-in data are not shared with third parties for their marketing or promotional purposes. Our collection and use of personal information are governed by our Privacy Policy.

9. Third-Party Services and Links

Our website may use or link to third-party platforms, including CRM, form, scheduling, hosting, analytics, social-media, email, and communications services. We do not control third-party services and are not responsible for their content, availability, security, or practices. Your use of those services may be governed by separate terms and privacy policies.

10. Disclaimers

Sales, marketing, business, and educational materials are provided for general informational purposes. They are not legal, tax, accounting, financial, employment, or other regulated professional advice. You are responsible for evaluating information and obtaining appropriate professional advice for your circumstances.

Results depend on numerous factors outside our control, including execution, market conditions, pricing, offer quality, sales ability, budget, competition, and customer behavior. We do not guarantee revenue, leads, appointments, sales, business growth, or any specific outcome.

To the maximum extent permitted by law, the website, free resources, and general information are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Innovare Growth and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, arising from or related to the website, free resources, or these Terms.

To the maximum extent permitted by law, our total liability arising from the website, free resources, or these Terms will not exceed the greater of one hundred U.S. dollars ($100) or the amount you paid us specifically for the product or service giving rise to the claim during the three months preceding the event. This limitation does not alter liability expressly established in a separate signed client agreement.

12. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Innovare Growth and its owners, officers, employees, contractors, and agents from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising from your misuse of the website or resources, violation of these Terms, infringement of another party’s rights, or unlawful conduct.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles. Subject to any different dispute provision in a signed client agreement, the state and federal courts located in Missouri will have exclusive jurisdiction over disputes arising from these Terms, and you consent to personal jurisdiction in those courts.

Before filing a claim, each party agrees to make a good-faith effort to resolve the dispute informally by providing written notice and allowing at least 30 days for discussion.

14. Changes and General Terms

We may update these Terms by posting a revised version with a new effective date. Continued use after the revised Terms become effective constitutes acceptance of the revised Terms.

If any provision is found unenforceable, it will be modified only as necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. These Terms and the Privacy Policy constitute the agreement concerning the website and free resources, except where a separate signed agreement applies.
